TYSONS CORNER, VA.—Corporate boards are under greater regulatory scrutiny than ever. Companies with small in-house legal departments need to understand these risks in order to guide their boards through regulatory challenges.
Womble Carlyle attorney Adam Wheeler will join Standard Solar, Inc. Executive Vice President and General Counsel Stuart Soberman for a Webinar program on “Corporate Governance and the Board of Directors – How Does Your Board Stack Up?” The program is presented by the Association of Corporate Counsel National Capital Chapter and is part of the ACC’s Small Law Initiative.
The Webinar takes place from 8:30-10:30 a.m. on Thursday, October 22nd at Womble Carlyle’s Northern Virginia office.
In this program, Wheeler and Soberman will discuss the elements that should be reviewed as part of a comprehensive board check-up in order to help ensure that maximum compliance is achieved and that the board has the appropriate resources in place when action is required. They also will review requirements and best practices to help avoid liability, including those concerning charter and by-law provisions, board committees, indemnification, Director and Officer (D&O) insurance policies, board and board member characteristics to be evaluated, and the drafting of Board minutes and resolutions.
