Melinda focuses her practice on complex business deals, including mergers and acquisitions, joint ventures, and financing transactions.
Melinda advises buyers and sellers in structuring, negotiating, and documenting business acquisitions and divestitures. She enjoys helping clients structure M&A deal terms, including working capital adjustments, earnout arrangements, escrow protection, set-off rights, seller financing, and post-closing non-competition restrictions. She assists companies with premerger notification filings under the Hart-Scott-Rodino Act (HSR Act).
Melinda also advises public companies, directors, and stockholders with respect to securities law and corporate governance matters, including SEC reporting requirements.
