Michael Hardy has extensive experience representing public and private investment funds, senior and junior debt lenders and operating companies in connection with a wide range of corporate transactions, including mergers and acquisitions, offerings of debt and equity securities, credit facilities, joint ventures and licensing and technology agreements.
Mr. Hardy’s multidisciplinary practice also includes counseling companies regarding compliance with federal and state securities laws and other regulatory issues, as well as advising companies and their boards of directors with regard to general corporate matters. His experience includes providing advice to companies regarding corporate governance and structure, equity incentive plans, commercial transactions, employment and real estate matters and the negotiated resolution of business disputes.
Mr. Hardy’s clients come from many industry segments, including private equity and venture capital, institutional lending, digital media, cyber security, health care and life sciences, e-commerce, manufacturing, data analytics, education technology, business and consumer services, banking and real estate development.
Mr. Hardy is a graduate of Vanderbilt University Law School and Towson University.
